Terms of Service

By accessing or using Clarix CLM, you agree to these Terms of Service and any applicable order form, subscription agreement, or organization policy that governs your account.

If you use Clarix on behalf of a company or organization, you represent that you are authorized to accept these terms for that organization.

Clarix provides contract lifecycle management tools for drafting, reviewing, approving, signing, analyzing, and managing business agreements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You may not use Clarix to violate laws, infringe third-party rights, interfere with platform security, reverse engineer the service, or upload malicious code.

You retain ownership of contracts, documents, comments, workflow data, and other content submitted to Clarix by you or your organization.

You grant Clarix the limited rights needed to host, process, transmit, display, analyze, and support customer content solely to provide and improve the services.

You are responsible for ensuring that customer content and your use of Clarix comply with applicable laws and your organization policies.

Clarix may include AI-powered features that help summarize contracts, identify clauses, flag risks, draft language, and recommend workflow actions.

AI-generated outputs are provided to assist review and decision-making. You remain responsible for evaluating outputs before relying on them for legal, business, compliance, or operational decisions.

Paid subscriptions, billing cycles, fees, taxes, renewals, and cancellation terms are governed by the applicable order form, checkout flow, or written agreement with Clarix.

Unless otherwise stated, fees are non-refundable except where required by law or expressly provided in your agreement.

Each party may receive confidential information from the other. Confidential information must be protected with reasonable care and used only for purposes permitted under these terms.

Clarix uses administrative, technical, and organizational measures designed to protect the platform and customer content, but no system can be guaranteed to be completely secure.

Clarix may integrate with third-party services such as identity providers, e-signature providers, storage systems, communication tools, and productivity platforms.

Your use of third-party services is governed by their own terms and privacy policies. Clarix is not responsible for third-party services outside its control.

Clarix may suspend or restrict access if necessary to protect the service, comply with law, address non-payment, or respond to suspected misuse.

Upon termination, your access to the platform may end, but provisions that by their nature should survive will continue to apply, including payment obligations, confidentiality, limitations of liability, and dispute terms.

Clarix is provided on an as-is and as-available basis except as expressly stated in a written agreement. We disclaim warranties to the fullest extent permitted by law.

To the fullest extent permitted by law, Clarix will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or business opportunities.

We may update these Terms of Service from time to time. If changes are material, we will take reasonable steps to notify users or customer administrators.

Continued use of Clarix after an update becomes effective means you accept the updated terms.
